Terms of Engagement.

01. Acceptance of Operations

By accessing b5kdigital.com and engaging B5K DIGITAL for web design, AI automation, or application development services, you agree to be bound by these Terms of Engagement. If you do not agree with any of these terms, you are prohibited from utilizing this site or our agency's services.

02. Asset Ownership & IP

We build custom digital assets. Upon final deployment and full receipt of capital, the complete intellectual property (IP) of the final deliverables transfers directly to the client. B5K DIGITAL reserves the right to:

• > Retain ownership of pre-existing proprietary codebase modules or AI scripts used as foundational architecture.
• > Display the finalized project, UI designs, and performance metrics in our agency portfolio for marketing purposes, unless a strict Non-Disclosure Agreement (NDA) is executed prior to the build.

03. Execution Cycles & Revisions

Timelines are non-negotiable once established in the project brief. Delays caused by client failure to provide necessary intel, feedback, or assets will result in the suspension of the execution cycle. All projects include a predefined number of revision rounds outlined in the initial quote. Modifications beyond this scope will incur additional tactical deployment fees.

04. Capital Transfer

All projects require an upfront mobilization fee to initialize development. Final deployment of code to the production server occurs only after the remaining balance is settled in full. Invoices are due upon receipt. Failure to clear invoices will result in immediate termination of hosting, API connections, and automated workflows.

05. Risk Mitigation & Liability

B5K DIGITAL deploys high-performance architectures, but we are not liable for third-party API deprecations, server outages from external hosting providers, or search engine algorithm updates that affect rankings post-launch. In no event shall B5K DIGITAL or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our digital assets.
